1. Acceptance of Terms

By downloading, installing, or using the Whisper Voice application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and VRC Japan ("Company," "we," "us," or "our").

2. Description of Service

Whisper Voice is a desktop application that provides speech-to-text transcription functionality. The Service uses cloud-based speech recognition technology provided by third-party services to convert your spoken words into text.

3. Eligibility

You must be at least 16 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Service on your personal devices
• Use the Service for personal or commercial purposes
• Use the transcribed text output for any lawful purpose

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers
• Use the Service to infringe on the intellectual property rights of others
• Transmit any viruses, malware, or other malicious code
• Use the Service in violation of any applicable laws or regulations
• Use the Service to process content that is illegal, harmful, or violates third-party rights

6. User Responsibilities

You are responsible for:

• Ensuring you have proper authorization to record and transcribe any audio content
• Obtaining necessary consents when transcribing conversations involving other people
• Complying with applicable laws regarding audio recording in your jurisdiction
• Maintaining the security of your devices and accounts
• Any content you create using the Service

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, and content, is owned by VRC Japan and is protected by intellectual property laws. All rights not expressly granted herein are reserved.

7.2 Your Content

You retain all rights to the content you create using the Service. We do not claim ownership over your transcribed text or any derivative works you create.

8. Third-Party Services

The Service relies on third-party speech recognition providers. Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the performance, availability, or policies of third-party services.

9. Disclaimer of Warranties

Speech recognition accuracy may vary depending on factors such as audio quality, accent, background noise, and language.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VRC JAPAN BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from transcription errors or inaccuracies
• Any damages exceeding the amount you paid for the Service (if applicable)

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless VRC Japan, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Service at any time without notice
• Update these Terms at any time by posting the revised version
• Change pricing or introduce new features

Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your license to use the Service will immediately cease.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through the following process:

1. Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation.
2. Mediation: If negotiation fails, disputes may be submitted to mediation.
3. Jurisdiction: For users in Japan, the Tokyo District Court shall have exclusive jurisdiction. For users in other regions, disputes shall be resolved in accordance with local consumer protection laws where applicable.

15. Export Compliance

You agree to comply with all applicable export control laws and regulations. The Service may not be used in countries subject to comprehensive sanctions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VRC Japan regarding the Service and supersede all prior agreements and understandings.
